Policy Principles

1.1

Elite UK REIT Management Pte. Ltd.(the "Manager"), the Manager of Elite UK REIT, is dedicated to fostering effective investor relations with investors, shareholders, and the financial community in accordance with the listing regulations set by the Singapore Exchange Securities Trading Limited ("SGX-ST"), the Singapore Code of Corporate Governance 2018 (Last amended 11 January 2023) established by the Monetary Authority of Singapore ("MAS"), other applicable securities laws and regulations, and widely recognised best practices.

1.2

The Manager regularly assesses the efficiency and efficacy of its investor relations programme to ensure investors, shareholders, and the financial community remain well-informed about Elite UK REIT ("Elite REIT")'s business activities and financial performance.

1.3

This policy is reviewed by the Manager on a regular basis to ensure the effectiveness of Elite REIT's investor relations programme. Revisions and updates will be made as necessary to align with industry best practices and enhance communication with investors, shareholders, and the financial community.

2.

Communication Principles

2.1

The Manager practises regular, timely, and transparent disclosures to give investors, shareholders, and the financial community a balanced and comprehensive assessment of its performance, position and prospects, and to facilitate a continuous exchange of perspectives.

2.1.1

These disclosures include the performance of Elite REIT, corporate developments, dividend policy, as well as industry developments in the UK where its assets are located.

2.1.2

These disclosures explain factors that affected or could affect Elite REIT's performance and prospects and provide context against the current business environment.

2.1.3

The Manager strives to ensure accuracy, transparency, and clarity in its disclosures.

2.2

Material information is disseminated to the public in a timely and transparent manner, via SGXNET in the form of SGX announcements such as press releases, presentation slides, circulars, annual reports and sustainability reports. Following the announcement(s) of material information on SGXNET, the announcement(s) will also be published on Elite REIT's corporate website (www.eliteukreit.com).

2.3

The Manager typically does not address rumours. However, if the rumours are inaccurate or false, and are likely to result in substantial volatility in Elite REIT's share price, the Manager may release announcements via SGXNet to address said rumours with the intent of halting excessive speculation.

2.4

The Manager observes a 'black-out period' before the announcement of Elite REIT's financial results and business updates and will avoid commenting about Elite REIT's performance and industry outlook unless such information has already been publicly disclosed.

2.5

The Manager gives reasonable access to analysts and the media to help them formulate informed opinions on Elite REIT, but will not seek to influence their objective opinions.

Communication Channels

3.1

The Manager actively engages with investors, shareholders, and the financial community through the following channels and collaterals:

  • Annual General Meetings ("AGM") and ad-hoc Extraordinary General Meetings ("EGM")
  • Corporate Website
  • Social Media (E.g. LinkedIn)
  • Email alerts
  • Annual reports
  • Press releases
  • One-on-one and group meetings
  • Conference calls
  • Investor Roadshows and Conferences

3.2

Elite REIT's AGM is the principal communication channel with Unitholders.

3.2.1

Elite REIT engages with Unitholders via yearly AGM and ad-hoc EGM when required. The Manager's board of directors, senior management and external auditors endeavour to be present at all general meetings to address Unitholders' queries.

3.2.2

All Unitholders are encouraged to attend and to actively participate in discussions pertaining to the matters that have been tabled for the meeting. Unitholders who are unable to participate in the AGM may designate proxies to represent them, including attending, speaking, and voting on their behalf.

3.2.3

Unitholders shall be sent a copy of the Notice of AGM or Notice of EGM which will be announced on SGXNET and uploaded on the REIT's website.

3.2.4

Elite REIT's Annual Report may be downloaded from its website and printed copies of Elite REIT's Annual Report are available upon request, subject to availability.

3.2.5

Minutes of the meetings will be posted on Elite REIT's corporate website as soon as practicable. The minutes record substantial and relevant comments or queries from shareholders relating to the agenda of the general meeting, along with responses from the Board and Management.

3.2.6

All relevant AGM or EGM documents, including minutes, will be uploaded on the REIT's website at https://investor.eliteukreit.com/agm_egm.html

3.3

The Manager also maintains a dedicated corporate website to provide its investors, shareholders, and the financial community with timely publication of financial reports, business updates, and investor-related materials from conferences and roadshows.

4.

Communication Contact

4.1

The Manager's designated spokespersons are the Chairman and the Chief Executive Officer. These spokespersons may designate other persons as spokespersons from time to time. The Manager will communicate only through its designated spokespersons, via approved channels.

4.2

4.3

4.4

The Manager treats all Unitholders fairly and equitably. The Manager recognises the importance of Unitholders' privacy and will not disclose Unitholders' information, including Unitholders' personal data, without their consent, unless required by or permitted under the law.
